Las cooperativas agr\u00edcolas se basan en los valores de autoayuda, responsabilidad propia, democracia, igualdad, equidad y solidaridad. box_shadow_vertical_tablet=&#8221;0px&#8221; box_shadow_blur_tablet=&#8221;40px&#8221; box_shadow_spread_tablet=&#8221;0px&#8221; z_index_tablet=&#8221;500&#8243;]<\/p>\n<ol>\n<li><span style=\"color: #b3bf00;\"><strong>ESPA\u00d1A<\/strong><\/span>\n<ol>\n<li><strong><u>Solicitud de certificaci\u00f3n negativa de denominaci\u00f3n<\/u><\/strong> (Se solicita en el Registro de Sociedades Cooperativas que es el \u00f3rgano competente para expedir las certificaciones sobre la existencia o no de entidades inscritas con id\u00e9ntica denominaci\u00f3n que otra que se pretenda constituir)<\/li>\n<li><strong><u>Elaboraci\u00f3n de los Estatutos Sociales por los que se va a regir la cooperativa.<\/u><\/strong><\/li>\n<\/ol>\n<p>Los Estatutos\u00a0son las normas\u00a0confeccionadas por los promotores de la cooperativa, en el derecho de la\u00a0autonom\u00eda de voluntad, respetando la normativa vigente.<\/p>\n<p>Como m\u00ednimo se deben hacer constar los siguientes extremos.<\/p>\n<ul>\n<li>La denominaci\u00f3n de la Sociedad.<\/li>\n<li>Objeto social.<\/li>\n<li>El domicilio.<\/li>\n<li>El \u00e1mbito de actuaci\u00f3n.<\/li>\n<li>La duraci\u00f3n de la sociedad.<\/li>\n<li>El capital social m\u00ednimo<\/li>\n<li>La aportaci\u00f3n obligatoria m\u00ednima al capital social para ser socio, forma y plazos de desembolso y los criterios para fijar la aportaci\u00f3n obligatoria que habr\u00e1n de efectuar los nuevos socios que se incorporen a la cooperativa.<\/li>\n<li>La forma de acreditar las aportaciones al capital social.<\/li>\n<li>Devengo o no de intereses por las aportaciones obligatorias al capital social.<\/li>\n<li>Las clases de socios, requisitos para su admisi\u00f3n y baja voluntaria u obligatoria y r\u00e9gimen aplicable.<\/li>\n<li>Derechos y deberes de los socios.<\/li>\n<li>Derecho de desembolso de las aportaciones de los socios, as\u00ed como el r\u00e9gimen de transmisi\u00f3n de las mismas.<\/li>\n<li>Normas de disciplina social, tipificaci\u00f3n de las faltas y sanciones, procedimiento sancionador, y p\u00e9rdida de la condici\u00f3n de socio.<\/li>\n<li>Composici\u00f3n del Consejo Rector, n\u00famero de consejeros y periodo de duraci\u00f3n en el respectivo cargo. Asimismo, determinaci\u00f3n del n\u00famero y periodo de actuaci\u00f3n de los Interventores y, en su caso, de los miembros del Comit\u00e9 de Recursos.<\/li>\n<li>En cada caso concreto, se deben incluir las exigencias impuestas por la Ley para la clase de cooperativas de que se trate.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ol start=\"3\">\n<li><strong><u>Calificaci\u00f3n Previa <\/u><\/strong>(Una vez confeccionados los estatutos, antes de su elevaci\u00f3n a escritura p\u00fablica, los promotores pueden solicitar del Registro de Sociedades Cooperativas su calificaci\u00f3n previa, para ver si se ajustan a lo dispuesto en la legislaci\u00f3n cooperativa, para lo cual junto con la correspondiente solicitud deben aportar por duplicado el texto \u00edntegro del proyecto de estatutos)<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<ol start=\"4\">\n<li><strong><u>Todos los promotores, es decir la totalidad de socios fundadores de la proyectada sociedad, deben otorgar la Escritura P\u00fablica de constituci\u00f3n y, en ella se expresar\u00e1: <\/u><\/strong><\/li>\n<\/ol>\n<ul>\n<li>La identidad de los otorgantes de la escritura.<\/li>\n<li>Manifestaci\u00f3n de \u00e9stos de que re\u00fanen los requisitos necesarios para ser socios.<\/li>\n<li>La voluntad de los socios de constituir una sociedad cooperativa y clase de que se trate.<\/li>\n<li>Acreditaci\u00f3n por los fundadores de haber suscrito la aportaci\u00f3n obligatoria m\u00ednima al capital social para ser socio y de haberla desembolsado, al menos, en la proporci\u00f3n exigida estatutariamente.<\/li>\n<li>Si las hubiere, valor asignado a las aportaciones no dinerarias, haciendo constar sus datos registrales si existieren, con detalle de las realizadas por los distintos promotores.<\/li>\n<li>Acreditaci\u00f3n por los otorgantes de que el importe total de las aportaciones desembolsadas no es inferior al del capital social m\u00ednimo establecido estatutariamente.<\/li>\n<li>Identificaci\u00f3n de las personas que, una vez inscrita la sociedad, han de ocupar los distintos cargos del primer Consejo Rector, el de Interventor o Interventores y declaraci\u00f3n de que no est\u00e1n incursos en causa de incapacidad o prohibici\u00f3n alguna para desempe\u00f1arlos establecida en esta u otra Ley.<\/li>\n<li>Declaraci\u00f3n de que no existe otra entidad con id\u00e9ntica denominaci\u00f3n, a cuyo efecto se presentar\u00e1 al notario la oportuna certificaci\u00f3n acreditativa expedida por el Registro de Sociedades Cooperativas.<\/li>\n<li>Los Estatutos.<\/li>\n<li>Adem\u00e1s, en la escritura p\u00fablica se pueden incluir todos los pactos y condiciones que los promotores consideren convenientes, siempre que no se opongan a las leyes, ni contradigan los principios configuradores de la sociedad cooperativa.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ol start=\"5\">\n<li><strong><u>Solicitud de inscripci\u00f3n de la sociedad en el Registro de Sociedades Cooperativas.<\/u><\/strong><\/li>\n<\/ol>\n<ul>\n<li>Se puede realizar por todos los promotores, el presidente y el Secretario del \u00d3rgano de Gobierno de la Sociedad,\u00a0o quienes hayan sido designados al efecto en la escritura p\u00fablica de constituci\u00f3n. Junto con la solicitud se debe presentar una copia autorizada y una copia simple de la citada escritura p\u00fablica, as\u00ed como el justificante del Impuesto de Transmisiones Patrimoniales y Actos Jur\u00eddicos Documentados.<\/li>\n<li>El plazo m\u00e1ximo es de un mes desde el otorgamiento de la mencionada escritura p\u00fablica, si transcurren m\u00e1s de seis meses, deber\u00e1 acompa\u00f1arse un instrumento p\u00fablico de ratificaci\u00f3n de dicha escritura de constituci\u00f3n.<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #b3bf00;\"><strong>ESLOVENIA <\/strong><\/span><\/p>\n<p>Seg\u00fan la ley de la sociedad cooperativa eslovena, una cooperativa debe ser establecida por tres fundadores. Los fundadores pueden ser personas o entidades jur\u00eddicas. Los fundadores de una cooperativa deben ser capaces de hacer negocios.<\/p>\n<p>La cooperativa se establece adoptando el acto fundacional. El acta fundacional contiene:<\/p>\n<ul>\n<li>los nombres y direcciones o asientos de los fundadores.<\/li>\n<li>la decisi\u00f3n sobre la adopci\u00f3n de normas de cooperaci\u00f3n<\/li>\n<li>la decisi\u00f3n sobre la elecci\u00f3n de los \u00f3rganos de la cooperativa que estaba obligada a elegir de acuerdo con la ley del estado<\/li>\n<li>fecha y lugar de la Asamblea General fundadora<\/li>\n<li>firmas de todos los fundadores.<\/li>\n<\/ul>\n<p>Una regla cooperativa es un elemento obligatorio del acto por el que se establece la cooperaci\u00f3n. Las reglas cooperativas deben regir en particular:<\/p>\n<ol>\n<li>firma y sede de la cooperativa.<\/li>\n<li>actividad cooperativa, condiciones especiales para la recepci\u00f3n.<\/li>\n<li>per\u00edodo de terminaci\u00f3n inicial y condiciones especiales para salir de la cooperativa.<\/li>\n<li>razones por las que un miembro puede ser excluido de la cooperativa.<\/li>\n<li>la cuota suscrita por cada miembro (cuota obligatoria) y el n\u00famero de contribuyentes que tienen derecho a los fondos.<\/li>\n<li>el plazo y el m\u00e9todo de pago para la mitad de la cuota obligatoria.<\/li>\n<li>otras obligaciones relativas a la cooperaci\u00f3n, incluidas las condiciones que han de adoptarse; 9. responsabilidad de los miembros por compromisos,<\/li>\n<li>la base para la asignaci\u00f3n del excedente y para la liquidaci\u00f3n de p\u00e9rdidas operativas.<\/li>\n<li>una referencia a la decisi\u00f3n sobre la Asamblea General, que es una Asamblea com\u00fan formada por representantes, as\u00ed como la elecci\u00f3n, el recuerdo y el t\u00e9rmino.<\/li>\n<li>\u00e1rea de trabajo, elecci\u00f3n, retiro y mandato del Presidente en otros \u00f3rganos de la cooperativa.<\/li>\n<li>representaci\u00f3n y representaci\u00f3n de una cooperativa.<\/li>\n<li>informar a los miembros sobre las decisiones de la Asamblea Municipal en materia de confidencialidad empresarial.<\/li>\n<li>el m\u00e9todo de la divisi\u00f3n de activos restante despu\u00e9s de la devoluci\u00f3n de los acreedores en la devoluci\u00f3n de acciones en proceso de liquidaci\u00f3n o quiebra, o la finalidad de dicha propiedad, si no se distribuye entre los miembros.<\/li>\n<\/ol>\n<p>Al introducir el Acta de establecimiento en un registro judicial, la cooperativa adquiere capacidad jur\u00eddica y de negocio. En virtud de los t\u00e9rminos y condiciones establecidos en las normas de cooperaci\u00f3n, una cooperativa incorporada puede convertirse en una persona f\u00edsica o jur\u00eddica.<\/p>\n<p>Condiciones m\u00e1s detalladas para el establecimiento de un SCE establecido en Eslovenia, seg\u00fan lo establecido en el Reglamento 1435\/2003\/CE, en la ley de cooperativas.<\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"color: #b3bf00;\"><strong>GRECIA<\/strong><\/span><\/p>\n<p>El nuevo marco institucional para la econom\u00eda social y solidaria (ley 4430\/2016, Gaceta del gobierno 205\/\u0391\/31-10-2016) y la decisi\u00f3n ministerial aplicada 61621\/\u0394 5,2643\/30-12-2016 (GG) regulan el alcance de la econom\u00eda social y el papel del estado en Grecia con respecto a las cooperativas sociales<\/p>\n<p><strong>Tipos de empresas cooperativas sociales:<\/strong><\/p>\n<ol>\n<li>Cooperativa de integraci\u00f3n social de grupos vulnerables que buscan incorporar a las personas de los grupos sociales vulnerables a la vida econ\u00f3mica y social<\/li>\n<li>Con un m\u00ednimo del 30% de los miembros y empleados pertenecientes a grupos vulnerables.<\/li>\n<li>Con un m\u00ednimo del 50% de los miembros y empleados pertenecientes a grupos vulnerables.<\/li>\n<li>Cooperativas sociales de responsabilidad limitada del art\u00edculo 12 de la ley 2716\/1999, (consideradas leg\u00edtimamente empresas cooperativas sociales de integraci\u00f3n.).<\/li>\n<li>Empresas cooperativas sociales de beneficio social y colectivo, que desarrollan &#8220;actividades de desarrollo sostenible&#8221; y\/o proporcionan &#8220;servicios sociales de inter\u00e9s general\u201d.<\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><strong>Pasos para crear una empresa social\/cooperativa<\/strong>:<\/p>\n<p>Los procedimientos de establecimiento se refieren al registro en el registro general de organismos de econom\u00eda social y solidaria. El proceso fundacional es sencillo y se describe detalladamente en u. s. 61621\/S5\/2643\/30-12-2016 (Gaceta del gobierno 56\/B\/2017).<\/p>\n<ol>\n<li>Presentaci\u00f3n de una solicitud adjunta al estatuto y documentos adicionales (descritos y variando seg\u00fan la categor\u00eda de la organizaci\u00f3n) editando un certificado de registro.<\/li>\n<li>Hacer las gestiones en el Servicio Econ\u00f3mico P\u00fablico. Especialmente, respecto al establecimiento de cooperativas de empleados, se requiere un seguro de miembros (como aut\u00f3nomo).<\/li>\n<li>Con el certificado de registro y el inicio de las operaciones, la empresa puede iniciar una actividad comercial.<\/li>\n<\/ol>\n<p>El Departamento de registro es responsable del mantenimiento y la funci\u00f3n del registro general de organizaciones sociales e interactivas. Es la autoridad administrativa competente, un departamento del Ministerio de medio ambiente y agua, para el control del establecimiento de las empresas cooperativas sociales y las cooperativas de empleados, la legalidad de sus acciones que se registran en el general Reg\u00edstrese y su supervisi\u00f3n. Adem\u00e1s, es responsable de asignar el estado del agente a las entidades jur\u00eddicas que cumplan con los requisitos para su registro en el registro especial. Pero tambi\u00e9n hay agencias de comunicaci\u00f3n, estudios de arquitectura y otras actividades en el sector de servicios que pertenecen al mismo.<\/p>\n<p>&#8211; Cooperativas de productores: se refieren a asociaciones de productores de un determinado sector. Los miembros de una cooperativa de productores ofrecen sus productos o servicios a otras cooperativas.<\/p>\n<p>&#8211; Propietarios de peque\u00f1as empresas que cooperan: en la colaboraci\u00f3n empresarial se pude destacar que comparten locales, comercializan y hacen negocios. Es un modo eficaz tanto para desarrollarse como para crecer como una empresa. La igualdad y la influencia son factores clave en la colaboraci\u00f3n empresarial, al igual que en el esp\u00edritu empresarial cooperativo.<\/p>\n<p>&#8211; Empresas sociales: en el \u00e1mbito de la cooperativa social, la corresponsabilidad desempe\u00f1a una funci\u00f3n rehabilitadora. El negocio creci\u00f3 y 2015 se cre\u00f3 la cooperativa Kostas Gardens, en paralelo a la compa\u00f1\u00eda original, como una forma de involucrarse m\u00e1s en el negocio de panader\u00eda y restaurante Garden.\u00a0 Con la inspiraci\u00f3n de la permacultura, la cooperativa se ubica en un \u00e1rea de aproximadamente 8 hect\u00e1reas, que originalmente albergaba\u00a0 una antigua granja de pescadores. El \u00e1rea del jard\u00edn exhaustivo es de aproximadamente 1 hect\u00e1rea de tama\u00f1o.<\/p>\n<p>Jard\u00edn forestal &#8211; hace mucho tiempo hab\u00eda una peque\u00f1a parte de un jard\u00edn forestal de los jardines de Kostas. Emular el borde naturalmente productivo es una forma interesante de cultivar muchas especies en un \u00e1rea peque\u00f1a.<\/p>\n<p>Animales peque\u00f1os &#8211; en un peque\u00f1o jard\u00edn tienen ovejas, gallinas, abejas, ranas, gatos y un perro. Cada uno contribuye a su manera al sistema o actividad de cultivo.<\/p>\n<p>El prop\u00f3sito de esta asociaci\u00f3n es promover los intereses financieros de sus miembros mediante la realizaci\u00f3n de actividades de restaurantes y eventos inspirados en la permacultura.<\/p>\n<p>El negocio servir\u00e1 como plataforma y catalizador para crear una sociedad econ\u00f3mica, ecol\u00f3gica y socialmente sostenible.
